Convenience Stores: 3 Locations

Business Description:  Serving Western Pennsylvania, this family owned business includes 3 Convenience Stores with gas (one location includes onsite car wash), 1 Wholesale Tobacco License and 1 Dairy Queen. With over 30 years in business, the Company has achieved organic growth and developed a strong regional reputation and customer loyalty. The owners opened their first convenience store in 1985 and remodeled that store in 2011. They built their second location in 1998. They opened their third location in 2006, which includes an automated car wash. In 2016, the 3 locations sold over 1.6MM gallons of high margin gasoline. In addition to the standard offerings of a convenience store with gas, all 3 locations also offer their own fresh sandwiches, pastas, and pizza under the Bartoli’s Oven brand. They also offer fried chicken and other specialty foods freshly prepared onsite. The Company also owns a Pennsylvania Wholesale Tobacco license, which it utilizes for tobacco sales to their stores. The Tobacco License, that is owned separately by a corporation controlled by one of the owners, generates both sales volume and cigarette profit, which is attributable to the 3 stores. In addition, all 3 stores are licensed Pennsylvania Lottery retail locations.

Operational Strengths: Store management is in place, and all equipment is in operating condition, has been recently appraised and is available for inspection. The Company has an ongoing “Modernization Program,” by which they reinvest 2% of gross sales back into the business annually. These funds are used to renovate and update their properties and to invest in new equipment. In recent years, they have reinvested in excess of $200,000 annually. Technology infrastructure includes a POS system. Marketing is done primarily through Facebook.

Transaction: The owners who are planning to retire seek to sell 100% of the business and are available for 30 days to assist in a smooth transition. The seller is also available for a mutually agreeable period of paid consulting. Purchase price includes real estate. Inventory of $500k is not included in the sale and will be priced at cost at close.  The Dairy Queen franchise is available for sale separate from the business. Appraisals were commissioned by the owners’ bank to assist with the sale. The firm that performed the convenience store appraisals specializes in appraising and valuing convenience stores across. The new owner has the opportunity to brand the stores.
